GLTA TO ALL! THIS IS JUST MY OPINION!

Okay you guys/girls. Basically if you paid the $2.50 to download the public documents out of Ireland 8/11/2014 agreements B5 Return of Allotments and B6 Part of a Contract relating to shares you will have your worries put at ease. It was effectively recorded 2/25/2015 or about 6 months after the transaction occurred so there are transactions that are 4 to 6 months behind that have yet to be recorded officially.

The B5 allotment is required to explain what the shares are being issued for and the following reason was provided: Shares for Share Exchange in which shares in Shala Energy SHPK (Albania) were exchanged for shares in Shala Energy Public Limited Company

Then the share break down and entities listed are provided below under Section A the Allottees and who gets what. Here is proof that 3Power Energy Group (PSPW) is getting issued 51% of the shares of the Shala Energy PLC which equates to about 5,762,990 shares issued out of the 11,299,990 shares total exchanged for the IMO only the 71% of the Shala Energy SHPK shares. Again this is only part of the contract. IMO Falak Properties controls the shares if you downloaded the data and agreements from the Albanian government for free (transparent) you would see all of this information. There is a part missing that has not been recorded yet. This is a direct link to Falak Properties control and the Structured Financial $3 billion dollar financing. They control both so they will at some point obligate the money to the project. Best indication I have found IMO. Its guessing but you cannot just steal the project or SEC would be all over you.

The Albanian government documents back up that Falak Properties controls 71% of the Shala Energy SHPK. They finally took control of the original 2012 agreement that was never officially executed until last year. There was a second MOU recorded there as well. The recorded documents do not describe the percentage of shares being transfered but one can assume its 71% based on the Albanian government documents recorded in Arabic, English and Albanian.

B6 is the description of the contract relating to issuing shares of Shala Energy PLC in exchange 11,299,990 shares valued at 0.10 euros per share with item 4 being the reasoning which says "Share for Share Exchange in which shares in Shala Energy SHPK (Albania) were exchanged for shares in Shala Energy Public Limited Company.


B5 is the allotment of shares issued to Shala Energy PLC described below.

Also this is one of my last post for today but if you look at what is recorded from the Albanian records it is still showing Falak Properties owning 71% of the project. IMO Shala Energy PLC is only in place to act as the holding company for 71% interest of the project. Falak Properties IMO will encumber the Shala Energy SHPK equity SHPK of 71% in exchange for securing the financing from Structured Financial and the remaining parties in the allotments will be provide the 30% down CASH as described in their plan from 3Powers 2012 PR. So 3Power Energy will get a net 51% of the 71% encumbered Shala Energy SHPK which equals 38.25% of the project plus the unencumbered 4% with Shala Energy SHPK or a total of 44.25% of the entire hdyro dam project. Of course this is speculation but I am confident something is going to happen this year. It takes about 1 year to go public and they started the company on 5/8/2014. So my bet is next month!

The day the financing happens the rest of the documents will be simultaneously recorded between Falak Properties, Shala Energy PCL and Shala Energy SHPK.

Since the original cost of the hydro dams was estimated to be $250 million based on the 6 dams with 115 cubic meters per second flow if the 2 additional dams each with 60 cubic meters per second flow is similar quality, we are looking at a $500 million to $600 million dollar large construction project. If you take $500 million equity and multiply by 4 that would equal about $2 billion in equity gain times the 42.25% and that equals 3Power Energy Group (PSPW) would have a market cap of 845 million and divided by 300 million shares outstanding that is about $2.80 per share.

This is making assumptions but all looks very promising. Not too mention they have a second subsidiary 3Power Energy Projects just forming and B5 or B6 has been filed yet.
