A. No alternative
B. Compensation - Consideration

and its easy for the Judge to rule for the GOV

i.e. if the GOV convinced the Judge that a bailout was needed and no one else would do it but them AND equity in that case would go to zero ................ the judge does not have to like what the GOV did but IMO hard to find it confiscatory in those situations

but plaintiff I am sure made many arguments against exactly such logic
