MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (the Agreement”) is made and entered into as of March 24, 2015, by and between, Cheryl Shuman & Cheryl Shuman, Inc., with a business address of 468 North Camden Drive, Beverly Hills CA 90210 (the “Company A”), and OSL Holdings, Inc., a Nevada corporation with a business address of 1669 Edgewood Rd, Yardley PA 19067 (the “Company B”) (each party hereinafter referred to singly as a “Party” or collectively as the “Parties”).
RECITALS
A. The Parties and/or their assignees or designees agree to work in Good Faith to enter into a Joint Venture Agreement to monetize various business opportunities within the Cannabis Vertical (to be defined) within the next 30 days;
B. The Parties and/or their assignees or designees agree to work in Good Faith to enter into a License Agreement to be used in the design, manufacture, advertising, merchandising use, promotion, sale and distribution of Licensed Articles from Company A or affiliated companies within the next 30 days;
C. The Parties and/or their assignees or designees agree to work in Good Faith to develop funding and execution plans for all the projects or opportunities referenced herein within 30 days of the execution of this Agreement.
D. Company A’s obligation herein is to bring opportunities, contacts, contracts or projects (collectively “Projects”) to the Joint Venture;
E. Company B’s obligation herein is to bring operational expertise, day-to-day management and execution to the Projects;
Weeeeee this Friday is 30 days!!! JV to be finalized this Friday as that is 30 days from the MOU :]
