Very reassuring email from Investor Relations Regarding 10-K:

The 10-K was delayed and the deadline was yesterday. When Surna filed the Form 12b-25 notifying the SEC that their 10-K would be late, they checked the box that the 10-K was expected to be filed within 15 days. Obviously, it has not been. The failure to file a required SEC report on time constitutes a violation of Section 13(a) of the Exchange Act and the SEC could institute an administrative proceeding against Surna,

among other things, seeking revocation of the company’s registration under the Exchange Act. In my opinion, I seriously doubt that will happen. These proceedings by the SEC are uncommon and are typically aimed at recurring and egregious violations. It was the first 10-K Surna had to file as a public company and the change in CEO’s took some time away from it. I don’t have an exact date, but, in my opinion, I think it will be filed any day. I can assure you that everyone at Surna who is involved in getting it filed is working very diligently to get it done.



As far as investors who doubt Surna’s legitimacy, Bill, that is their own uneducated opinion and I don’t see how I can change it. Surna’s business is growing and, despite the low stock price, employee morale is very high. I don’t have any non-public information, but, once again, in my opinion, I think anyone who is a buyer at these levels will do well. So you know, I am an outside consultant and I have taken the bulk of my pay in restricted Surna shares. I haven’t sold any and am excited about the future of the Company. Also, Surna implemented a stock option plan for the employees back in December. Now everyone has skin in the game. Thanks for having nerves of steel and hanging with us!
