"The report of our independent auditors on our consolidated financial statements for the year ended December 31, 2014 included an explanatory paragraph indicating that there is substantial doubt about our ability to continue as a going concern. Our auditors’ doubts are based on our incurring significant net loss and our working capital deficit position. Our ability to continue as a going concern will be determined by our ability to obtain additional funding in the short term to enable us to realize the commercialization of our planned business operations. On December 18, 2014, we commenced a “best-efforts” private placement offering of up to $1,500,000 pursuant to Rule 506 of Regulation D of the Securities Act of 1933, as amended (the “Securities Act”). From December 18, 2014 through March 31, 2015, we held closings of our private placement offering whereby the Company received an aggregate of $975,000 from two accredited investors.
