It is my understanding (anyone can correct if needed) that utilization of an S-3 registration in whole or part is a material event and requires 8K filing. Filing must be within 2 business days unless an extension is filed granting an additional 2 business days.
For now the recently filed S-3 would be the prime source of any dilution for EOX.
You can keep track at sec.gov or several other sites when 8K's are filed and published.
