Funny, that is precisely what JOSEPH ZAMPETTI and his associates (and only JZ and associates), who detest having the light being shined on them and their illegal/immoral and shareholder-unfriendly behavior, have always said, LOL...


The point of the .05 financing was that it facilitated the company's revenue streams and increased its chances for success.


No, the point of it was to dole out a sweetheart deal to the promoters so they can have one more big cash grab at the expense of shareholders.

The SEC filings themselves clearly state that other than a small 6-figure loan to Implex, SCRC paid pretty damn close to nothing to get involved with Main Ave. It was certainly not needed.


Whether it's Facebook, Google or even SCRC, private placement is absolutely legitimate and extremely commonplace.


Here we go again, comparing SCRC to blue chip companies, LOL... ...PP's are indeed commonplace, but please do find me a LEGITIMATE PP that involved a public company turning to not only retail flippers (instead of TUTs and other professional financiers) to participate in the PP, but retail flippers who were comprised of known criminals... ...and please do also find me a LEGITIMATE PP that was priced at the toxic discount level that SCRC priced its .05 PIPE deal at. And remember, at the time that this PIPE deal was being offered and JOEY Z and SEAN FITZGIBBONS were rounding up their buddies to participate, it was still Q4'13 and the sp was ranging predominantly between .20-.40, with a year-ending tailspin down into the low/mid-teens due to the very same JOEY Z and gang dumping tranches of the 6M shares of 0.00 stock they had received as compensation for illegally promoting SCRC stock.


Most who know nothing, know that fact.


Most who know nothing happen to be JOEY Z and his associates, who have publicly demonstrated time and time again that they are unable to differentiate fact from fiction...


It's just not that complicated, and talk about water under the bridge or that train has long since left the station, yesterday's news, done deal, etc..


It is very uncomplicated. And I'm sure that JOEY Z and friends would like nothing more than for unsuspecting retail investors to forget about it -- but unfortunately the very same criminals who were around back then destroying shareholder value are still around dumping their .05 PIPE stock while pumping the stock throughout the public space... ...so, sorry, the train will not be able to leave the station until all the vermin have been eradicated first. After all, it's just not that complicated...
