Item 3.02 Unregistered Sales of Equity Securities.

Between March 5, 2015 and March 25, 2015, StreamTrack, Inc. (the "Company") issued an aggregate of 296,636,667 shares of common stock upon conversion of previously disclosed convertible notes.

In connection with the foregoing, the Company relied upon the exemption from registration provided by Section 4(a)(2) under the Securities Act of 1933, as amended.

As of March 25, 2015, the Company had 1,332,405,566 shares of common stock issued and outstanding.
