No MYTH Quote needed, "It is possible (1) that the Nasdaq review committee gave credit for the "$18.6 million dollars available to us under our arrangement with Lincoln Park Capital" to meet the the $ mil cash (equity) and/or (2) $OCAT has a JV partner, Pharma and/or Financial, lined up which met the Committee's acceptance. "
What??? Total nonsense in that quote. Lets just keep making up MYTHS about a bunch of stuff that didn't happen, didn't need to happen and makes no sense? Just to get the MYTH and pure fantasy word "JV" attached to this company?
THERE IS NO, NONE, NO minimum shareholder equity requirement for the Nasdaq tier they chose to list on- thus NO myth of some Nasdaq "committee" needing to "give them credit for Lincoln money " and especially NO MYTH of some fantasy "JV" being "applied" as extra credit to them or whatever is needed nor does it apply.
They needed $75 million as the value of their marketable securities. They presently have a MARKET CAP (aka the value of their marketable securities) of around $225 MILLION dollars, thus EASILY meeting the $75 million requirement.
NOTHING ELSE NEEDED as they met all the other requirements for that Global Market tier:
1) Market Value Of listed securities at least $75 million
2) Public held shares at least 1.1 million
3) Market value of public held shares at least $20 million
4) Minimum share price of $4 a share
5) Minimum number of shareholders at least 400
6) Minimum number of market maker 4
THAT IS IT. The difference between item 1) and item 3) is that the $20 million worth of shares has to be in PUBLIC HANDS aka $20 million of the $75 million has to be PUBLIC TRADED FLOAT, meaning the company can't all be held by insiders or private investors, etc $20 mil worth has to be instantly tradable shares on the open market.
PAGE 8, CRYSTAL CLEAR. No MYTHS of some "committee" and "giving credit" for Lincoln or pure myth of a "JV" taking place etc.
SIMPLE, non complex- the table on PAGE 8 of the Nasdaq listing guide lays it all out- and they had the needed market cap aka $75 million, the $4 a share, the $20 million in public traded shares, etc
