TY for the response so that's basically saying is it clears a companies shares that they haven't sold in their A/S.

For example if a company has a 300 million O/S and an A/S of 500 million and the remaining 200 million aren't cleared they would have to file a reg A so they can sell those 200 million shares to raise funds.

Am I right?
