Woogs I'm voting Yes to the share count increase

I've already indicated why on this thread. Make no mistake though, it does go against my better judgement to do so and I would wish to make a statement by voting No as well. However, I feel that by putting them in Default at this late stage in the game with PaperClick coming off the Pad soon will jeapordize not only the company's efforts, but the shareholders interests as well. Barring any blame for the shortfall in shares, there have been numerous proactive reasons cited by NeoMedia as to why they believe the additional A/S will be needed. So I am trusting them on this one that they will not unnecessairly dilute the newly authorized if approved. Also, I believe our efforts have been acknowledged and we've been heard. Trust me, I've been pounding the table with the BOD probably the longest and loudest on the entire Cornell financing arrangement.

Regarding the rest of the Proxy, I sincerely doubt that I will be in favor of re-electing certain officers for many of the same reasons already reasonated here. And I agree with most that 'insider' options should only be issued and/or exercised based on fundamental results...

All the Best, JP
