FOR THOSE CURIOUS... i Finally had time to read over at EDGAR, at least briefly anyway.

OK, we all know the SEC sent them correspondence, but apparently CBMC's lawyers didn't blow off the SEC, the SEC just didn't like their excuse for not wanting to file financials and the rest of the filings for 2012-13 when CBMC wanted to change par value to below .01 (which is not normal usually their .001 or lower around here) and issue more shares.
From Edgar, the SEC sent this letter via email Feb. 10, 2014 CBMC had 10 days to respond. They took just 2.

Basically its about this (and then CBMC responded, see link below it).

"Proxy Statement for Special Meeting of Stockholders
1. Please revise the proxy to include the financial and other information required by Item 13(a) of Schedule 14A. In this regard, we note that the proposed reduction to the par value of your common stock represents a modification to your securities covered by Item 12 of Schedule 14A and the authorization of additional securities is separately covered by Item 11 of the schedule. In addition, since you have not filed an annual report for fiscal 2012 or any quarterly reports covering periods in fiscal 2013, it is unclear how shareholders would be in a position to exercise prudent judgment on the matters presented in the proxy statement"


CBMC made excuses and the SEC didn't like it, but they did respond, at least (BUT who cares, right? We're still suspended) The SEC flat out told them after that they still might take action, and CBMC didn't think they should have to and didn't catch up their filings.
