sloth, logic would tell us that the company has something really great up its sleeve that would persuade the voting masses to vote affirmative. However, I've learned that logic many or most times does not prevail in the stock market.

If the company told us they have a supper opportunity to buy significant assets or a company that would counter a potential dilution, then maybe we could see the light. What this company needs is the father and son team to find a nephew white knight that will fund the company without diluting with stock.
