R/S between 1:5 and 1:20 and 50M A/S increase...will shareholders vote YES for this?

1. To consider and vote on a proposal giving the Company’s Board of Directors (the “Board”) the authority to effect a Reverse Stock Split of the Company’s outstanding common stock, $0.001 par value per share (the “Common Stock”) at an exchange ratio ranging between 1-for-5 and 1-for-20, with the exact exchange ratio to be determined by the Board in its sole discretion, by filing amendments to the Company’s Articles of Incorporation. (“Proposal No. 1”)

2. To consider and vote on a proposal to amend our Articles of Incorporation to increase the number of authorized shares of capital stock, par value $0.001 per share, from 300,000,000 to 350,000,000, of which 330,000,000 shall be classified as common stock and 20,000,000 shall be classified as preferred stock. (“Proposal No. 2”)
