NATVAN INC. Announces an Offer to Exchange Its Common Stock with COMPOSITE HOLDINGS INC.

LAS VEGAS--(BUSINESS WIRE)--June 11, 2003--NATVAN INC. (NATVAN) (Symbol: NTVN), a Pink Sheet company, announced today that it has made an offer to COMPOSITE HOLDINGS INC. ("COMPOSITE")(Symbol: COHIA) shareholders to exchange one share of NATVAN common stock for each share of COMPOSITE common stock submitted pursuant to the offer. The offer will expire July 3, 2003 and is subject to certain restrictions on selling the NATVAN common stock received pursuant to the offer. Shareholders of record will be mailed details and instructions for the exchange.
NATVAN and COMPOSITE recently entered into a royalty agreement pursuant to which NATVAN will seek U.S. certification of the patented Z MIX owned by COMPOSITE. Z MIX is a lightweight, fireproof building material for use in affordable fireproof and earthquake-proof housing. NATVAN will seek U.S. certification of the Z MIX material for use in the construction of affordable, fireproof and earthquake-proof housing.
