The SEC has issued a report that clarifies the use of social media outlets, such as Facebook and Twitter, to announce key information in compliance with Regulation FD. The SEC determined that Reg. FD applies to communication posted on social media websites in the same way it applies to the company's own website. Under Reg. FD, a company is required to distribute material information in a manner that is reasonably accessible to all shareholders at the same time. The use of social media websites can be an effective way to distribute material information to the general public, however, investors must have been alerted as to which social media outlet will be used to disseminate such information. In short, the company should review the Commissions guidelines to address questions that arise regarding social media postings.
