The following is directly from Dr. Sexton's attached exhibits to her declaration. The first email is a response to Lauren Hilty's email, in which Nick is clearly discussed. As you can see, Hilty, Lund and Sexton all discussed forming a new lab. Sexton wisely points out that they can't do it, and that Abattis will sue them.
For Nick to now sue Abattis when his involvement is so plainly evident (Herbal Analytics is in the exact location being discussed below), and he is straight-up named as being involved, well it is just laughable.

4. Rescinding our contracts
a. I don't believe there is any way Abattis will agree to this. They have invested too much and we are
too far down the road.
b. lf they don't "agree" we have to go to court and I want to stay out of a legal battle.
c. lF rescinding was viable, we walk away with NOTHING for all of our work. (stock is returned) and we
probably owe them money, which I have none of.
3. We offer to buy them out
a. They will never agree to Nick as the buyer, and we can't lie about where the money is coming from.
They have to "approve"
b. We have no money to buy them out
c. They would not agree to this anyway and would suggest buying us out. They would probably just
shut the business down.

Thank you for your response - Both budgets include the equipment we have or purchasing equipment as
we did for a new location and then also include a proper level of staffing (You and Michelle agreed that
3-4 lab techs and one lab manager for the equipment we have now). Virginia's increased salary amount
is include in the lab tech line. My thought was that we can use this budget to play around with
additional lab equipment/personnel/consumables and expanding earning capacity.
For the PhytaLab Kirkland budget, I would add an equipment lease line, 3 more techs, up the projected
revenue and the related consumables to support the increased testing and the rest stays nearly the
same.
For the Woodinville budget, I would like to make a second one that shows the expense associated with
leasing the same and additional equipment, add the additional techs, up the revenue capacity and the
related consumables to show how that pencils out as well.
I believe we need to get what we have here to Nick asap and no matter what we plan on doing with or
without Nic( we need to send a letter to Abattis letting them know of our intent to separate from them.
Probably no later than Thursday.
