Rights Update/Clarification

Each subscription right entitles the holder to purchase one Unit, which consists of five shares of common stock and one warrant to purchase a share of common stock for up to two years in the future at $9.00 share, making the total subscription price $45.00 per Unit.

Each holder of record on 12/12/14 will receive one right for each 60 shares owned.

Shareholders who own outstanding warrants may surrender them for a credit of $.64 per warrant surrendered toward shares purchased in the rights offering.
