Assets far exceed any liabilities. I have read the latest 10q. The debt is related to acquisitions. The conversion of shares is directly related to the acquisitions.

If I receive $100 million in stock, plus cash and convertibles for my company then I owe the tax man. But if I can show a loss on gains through PPS then I owe less. Then I convert enough shares to cover my tax liability while gaining a controlling position.

Just brilliant.
