If they paid $5 for 40% ($3.5B) then the whole would be that $3.5B plus the value of the other 60%, or another $7.50 a share.
$12.50 a share is a market cap of $8.75B, your number, and correct.
Don't look at it as a price per share, they value 40% of what ERHE is at $3.5B, that makes the 40% plus the 60% worth $8.75B
If they were buying 100% for $5 a share then yes, ERHE's market cap would be $3.5B, they are only buying 40%
