It means that just to purchase rights to the shell it cost Victor $45k, which is why he is now listed as officer per NV SoS.

He also made filings with the NV SoS changing the percentage of ownership showing he owns 53.5% of the O/S. If his percentage changed from the initial shell purchase it means shares were purchased in different transactions.

this would mean he paid in excess of $45k for the shell and the shares he now owns. What the final number is depends on number of shares purchased times the prices but would not be surprised if he spent 10-15k on the shares totaling $60k or so he has spent.

Plus, lawyer fees, auditor fees, FINRA filing fees, State filing fees and a host of other contractors and legal requirements tells me that they are $100's of thousands deep in this merger.

So they have much more to loose than I just as they have much more to gain. But they have not sold a single share and are not creating a share selling scam. they have put their own money up to attempt to complete a reverse merger.

If it falls through they are hurt the most.
