As long as BAM is holding the senior note secured by the patents DMRJ is taking a risk.

Suppose that you are right and DMRJ has already converted and sold enough .08 shares to cover the loan principal. Now they are playing with house money, but millions more of their .08 stock options expire in 4 months. Why not restructure the deal so they can convert and hold SOME of those "options" ? What needs to be done to allow them to own 5% , or 10%, or 20%?
Once BAM is payed back there is no more risk .
