Can't really argue with that since the first PIPE filing, if studied closely, clearly indicated the possibility of an approaching INFINITE dilution if the stock price descended below 3 bucks a share and stayed there.

However, most retail investors are a bit naive about interpreting SEC filings. It certainly would have spoken more for management had they made some little effort to explain that particular part of the deal in a PR after the PIPE rather than suddenly spring it on everyone with a 99% loss over just a few days months later.
