As with all companies, being incorporated protects the officers of the company. There are certain things that need to be filed with the state you are incorporated in to maintain your Corporation status. This is saying that they are up to date now with the state of Nevada. Not the same as SEC required filings. Jrich was close.

You will also notice that a lot of SEC listed companies are incorporated in either Nevada or Delaware.
