You ask (a) whether there is a time limit on the SEC's approval of a Form 10-12G and (b) whether a subsequent Form 10-12G/A alters the effective date of the registration. When a company files a Form 10-12G, the registration becomes automatically effective 60 days after the filing. An amended filing does not alter the automatic effective date. A company can only delay or prevent the automatic effectiveness of a registration by withdrawing the Section 12(g) registration statement before the effective date.
