You ask (a) whether there is a time limit on the SEC's approval of a Form 10-12G and (b) whether a subsequent Form 10-12G/A alters the effective date of the registration. When a company files a Form 10-12G, the registration becomes automatically effective 60 days after the filing. An amended filing does not alter the automatic effective date. A company can only delay or prevent the automatic effectiveness of a registration by withdrawing the Section 12(g) registration statement before the effective date.

According to EDGAR, the Commission's publicly available electronic database of corporate filings, Vortex Brands (Vortex) filed a Form 10-12G on August 29, 2014 (http://www.sec.gov/Archives/edgar/data/1373467/000147793214004842/vortex_1012g.htm). It filed an amendment on October 3, 2014 (http://www.sec.gov/Archives/edgar/data/1373467/000147793214005247/vortex_1012ga.htm). As stated above, the amended filing did not alter the effective date of the original Form 10-12G. Only the withdrawal of the registration statement before the effective date can delay or prevent automatic effectiveness. So based on this 60 days from August 29 is November 27 and it becomes effective automatically then.
