RS is not necessary at this time.

Only do a RS when the PPS is appreciating and revenues are increasing. In that situation, the RS is trivial. Any other scenario it can be deadly.

It should be done to move off of OTC and onto big boards.

You can't reduce your float too much and you don't want to be near the delisting threshold of $1. Sometimes that can be a tricky balance.
