So, let me get this straight:

IF a company has 1B authorized shares and I own 10M (which equals 1%) applies to have the AS increased to 5B, they cannot sell any of them, unless they GIVE me enough shares to maintain my ownership percentage.

That means that if they were to sell all 4B that were added, they would have to GIVE me 40M of those shares.

Am I stating that correctly?

That would also mean that everybody else that owned shares would get a gift to maintain their percentage of ownership as well. Since 100% of the Issued Shares are owned, they would have to GIVE all of the additional shares they got authorized to maintain the collective shareholders ownership of 100% (I think I just confused myself), but that would mean that you can't authorize additional shares for sale and increasing the authorized shares is really a Stock Split, since they can't sell my ownership percentage.

I think I need another beer.
