This is already a lost cause for the defendants precisely because DFI has already been merged into TMMI. So cleary the DFI/DFMI merger never took place, otherwise this later merger would have never gone through.

Before you complete a merger you must do a DD process of checking to see if the target of the merger had ever completed one before. This is just like when you go into escrow on a house, you get title insurance and make sure that nobody had sold that house before and to see if the owner of the house you are buying has clear title. The DFI/ TMMI merger clearly passed this process otherwise you would not have been able to complete it.
