From Mr. Weed's Opinion letter:

none of the Issuer’s creditors agreed to the assumption of the Issuer’s outstanding debts by Privileged World Travel Club, Inc. and that if Privileged World Travel Club, Inc. is unable to honor its obligations to satisfy the Issuer’s outstanding debts, then those creditors will have a claim against the Issuer.
