FGLD 10-Q is out..NOHO still owns them (right?)...It looks like FGLD will merge with a "public entity" ...(but I'm terrible at reading these forms).

If the merger happens and NOHO doesn't file an S-1 does that imply...

1) NOHO might still own FGLD ?..I think the NOHO 8-k mentioned that NOHO will merge with ACX but it would be without any assets (and I think that means without FGLD)

...Heres a quote from NOHO's 8-k (Not FGLD's)

"All outstanding remaining assets and current operations of Registrant will be disposed of prior to or in the merger transaction and all liabilities of Registrant other than convertible promissory notes already outstanding, will be paid or otherwise discharged prior to the closing of the merger transaction."



Question:
if NOHO Still owns FGLD then NOHO will own the company that FGLD is merging with?

(again) I'm bad at reading these forms...It looks like FGLD took a hit and will merge..any imput is appreciated.

This is from FGLD's 10-Q (not NOHO's)

"As of August 31, 2014, our cash balance was $0. Accounts payable and accrued liabilities as well as short term payments under contracts as of August 31, 2014 totaled $3,195,310. Our working capital excluding derivative liabilities at August 31, 2014 was a deficit of $2,102,075."

and ...

"During the quarter ended August 31, 2014, the Company determined that it was in the best interests of shareholders to return to the mining industry and, accordingly has agreed in principal to a merge with an existing mining group with a joint venture copper mining operation in Mexico. Simultaneously, the Company will transfer its majority ownership in the two receivables management subsidiaries to n unrelated public entity. Both transaction are expected to be reduced to agreements in the next 30 days and to close by the end of the calendar year."



On the Bright side (for FGLD) the merging company may be in Good shape...Either way I wish All the Best to FGLD Shareholders.
