An example? Robert Maheu became a director of CMKX in early 2005, when the company was a Pinkie that hadn't reported to the SEC in years. He promptly filed a Form 3. Even though he didn't own any stock. Evidently he wanted his position to be clear.

Needless to say, none of the other company insiders ever bothered to file Forms 3, 4, or 5.
