Logic: Management wanted to increase A/S to increase the number of shares required for controlling interest. The big shareholder did not want this b/c he wanted to buy more for controlling interest. Management did not want this because they know TTSI's Vic wants to own VIIC and will buy it out - a much more lucrative deal to management than a hostile takeover (more money with buyout / RM).

To protect against the unwanted option they file for BK - more importantly its Ch11 which is really a time buyer, and much less significant to true BK than Ch7.

Hence where we stand right now.
