Titan Medical Inc. (the "Company")

An application has been granted for the original listing in the
Industrial category of 144,839,817 common shares of the Company (the"Shares"), of which 101,802,839 are issued and outstanding and
43,036,978 are reserved for issuance.

An application has also been granted for the original listing of:

i) 3,665,900 Share purchase warrants (the "December 2015 Warrants"),all of which are issued and outstanding, each December 2015 Warrant entitling the holder to purchase one Share at a price of $1.85 at anytime until 5:00 p.m. (Toronto time) on December 10, 2015;

ii) 5,121,500 Share purchase warrants (the "June 2016 Warrants"),
all of which are issued and outstanding, each June 2016 Warrant
entitling the holder to purchase one Share at a price of $2.00 at anytime until 5:00 p.m. (Toronto time) on June 21, 2016;

iii) 4,184,500 Share purchase warrants (the "December 2016
Warrants"), all of which are issued and outstanding, each December 2016 Warrant entitling the holder to purchase one Share at a price of $1.75 at any time until 5:00 p.m. (Toronto time) on December 22, 2016;

iv) 5,302,705 Share purchase warrants (the "March 2018 Warrants"),
all of which are issued and outstanding, each March 2018 Warrant
entitling the holder to purchase one Share at a price of $1.25 at any time until 5:00 p.m. (Toronto time) on March 13, 2018;

v) 8,317,856 Share purchase warrants (the "February 2017
Warrants"), all of which are issued and outstanding, each February 2017 Warrant entitling the holder to purchase one Share at a price of $2.00 at any time until 5:00 p.m. (Toronto time) on February 19, 2017; and

vi) 12,296,414 Share purchase warrants (the "April 2017 Warrants"
and, collectively with the Shares, the December 2015 Warrants, June 2016 Warrants, December 2016 Warrants, March 2018 Warrants, and February 2017 Warrants, the "Securities"), all of which are issued and outstanding, each April 2017 Warrant entitling the holder to purchase one Share at a price of $2.75 at any time until 5:00 p.m. (Toronto time) on April 23, 2017;

The Securities will be listed and posted for trading at the
opening of business on Tuesday, September 30, 2014.
