This is most likely the reason the spin off is taking place. You open up a completely new branch of the company, one that is a separate entity from your main source of income. That way if it fails, it doesn't take the entire thing down with it. They saw this coming more than likely, hence the decision to spinoff Oct 1st. Just my $.02 and opinion of course.
