Riss controls 53.45% of the votes. 48% thru his 48 Series C supershares, another 5.45% thru his 54,938,533 common shares. Well, his 21,032,533 common shares plus options and warrants for 33,906,000 more.

Furthermore, Richards will still vote his 3% in favor of his buddy.

Even if Riss controlled only 48%, he would have more than enough to defeat any possible shareholders attempt. You could never get ALL the proxies from the remainder, and, as usual, all unexpressed shares are deemed to have voted in favor of the Directors.

And even if you could boot off the CEO, the company would still be doomed. No new director could possibly solve the company's debt load and toxic debt load, and neither could he make the company become profitable overnight.

Most candidates would refuse the post. Those who would accept to be VOX CEO would do it for the money (the borrowed money) only, not with any realistic belief they could salvage something.

it's a pipe dream.
