Restricted shares are part of the outstanding, but not considered part of the float (because the float refers to the free trading shares that are bouncing around). When the formerly restricted shares are no longer restricted, then they are part of the float.

Can someone here with knowledge on convertible notes and share structure help me out? This is less of a question on GRCU and more of a general question. When there is a gap between A/S and O/S, and restricted shares are issued for purposes of an acquisition, will those shares only result in an increase in O/S or will they also result in a corresponding increase in the float as well? That is to say, will those restricted shares for acquisition only affect O/S or O/S and float numbers? Thanks :)
