There are 2 reasons a company can be downlisted.

1) they failed to file necessary docs to the SEC

2) The company actually requests to be downlisted. Companies who do not wish to be be fully reporting anymore would choose this route.

Either way it can result in loss of market maker support.

If anyone could provide further insight I would appreciate it.
