SH's controlling investor is Malaysian government through Government bank. Malaysia very nationalistic. Major deal on table was Vivo an Indian company to get 2/3 interest in Viropro and develop Alpha. In my opinion, Malaysian government didn't want Indians to control and run Alpha and Viropro and Malaysian biotech industry.
The judge ruling was that if have 50% in consent resolution; then you have absolute control of company and general meeting not required to appoint new board and exercise control of company. It should be noted that Bruce Cohen not part of the fight. It was very unclear why SH took the action they took. However, since Viropro was on verge of major change that essentially made Viropro an Indian company; a reasonable guess is Malaysians didn't like that move. CT running Viropro as US company. Clash between U.S. Capitalism and Malaysian Nationalism and Malaysian nationalism won because they put together 51% and majority rules.
