I decided to compile a list for the stock listing requirements for those too lazy to dig up the info.
QB Tier: -Meet an ongoing bid price test of $0.01 as of the close of business for at least one of every 30 calendar day -Post current SEC disclosure on EDGAR, or for companies that do not file on EDGAR, post current SEC disclosure on the OTC Markets website -Post on the OTC Markets website
QX Tier:
-A minimum bid price of $0.10 (for preceding 30 consecutive calendar days) -At least 50 beneficial shareholders, each owning at least 100 shares of the company's common stock -Two years of audited annual financial reports available
For the nasdaq listing we will be using the NET Standard Income for the example of listing eligibility.
Nasdaq OMX -
Stockholders’ Equity - $4 million Market Value of Publicly Held Shares - $5 million Net Income from Continuing Operations - $750,000 (in the latest fiscal year or in two of the last three fiscal years) Publicly Held Shares - 1 million Bid Price or Closing Price** $4 bid, $3 close
then there's the Corporate Governance Requirements. One of the requirements says; The company is required to hold an annual meeting of shareholders no later than one year after the end of its fiscal year.
I do believe we have a "Nasdaq Powerhouse" here. Once we can get valuation of the patent with the check processing engine, there will be no stopping this ship. We arent going to the moon. We are headed to the next galaxy!
