Peafunk, Richard and AirCorps, in a way I agree with you all that this company may be should be valued at .05.

The reasoning for my believing $BION should valued in the multiple dollar PPS is simply based on the information that the company has provided us investors. When it comes down to it, what they tell us is all that we know unless we recieve more information from management. Here are a few things that brought me to my valuation, for those that are new to Bionitrogen, all of this information being given to us by the company, followed by my comments:

June. 01, 2012 - BioNitrogen, the Company today announced an exclusive agreement that extends the Patent Cooperation Treaty Application No. PCT/US2009/053547, Modularized System and Method for Urea Production using a Bio-mass Feedstock exclusively to BioNitrogen. The U.S. Patent filing involves a proprietary process for the conversion of biomass into Urea Fertilizer. - This Patent "clamed" to be owned by Bionitrogen, in my opinon, is initself worth more than the 17Million dollars that the company is currently valued at.

June. 28, 2012 - BioNitrogen Corporation announces that it has closed on a convertible debenture facility of $400,000. The initial round of financing will allow Granherne, Inc., a KBR company, the global engineering firm, to complete the engineering report. The convertible debenture facility may be increased to $1 million. - $400,000 - $1,000,000 in financing announced complete.

August. 17, 2012 - United Suppliers is owned by 735 locally-controlled Ag Retailers and provides crop nutrients such as urea fertilizer to its owners in 20 states from east of the Rockies to west of the Mississippi River plus three of the western provinces in Canada. The agreement provides United Suppliers with the right of first refusal for biomass-based urea, which will be produced by any future BioNitrogen plants in North America. It also provides for urea purchases by third-party customers of United Suppliers. - Does this agreement not have a value to it that should be reflected by the valuation of the company?

October. 02, 2012 - BioNitrogen announced today the acquisition of 4A Technologies, LLC, which owns the patent pending technologies for the conversion of biomass into urea fertilizer. - Another Patent owned by Bionitrogen that must have some intrinsic value

January. 10, 2013 - BioNitrogen Corporation announced today that it has acquired approximately 600 acres of land in Hardee County, Florida, for $9.7 million. The total acreage includes the 40 acres of land BioNitrogen acquired previously in September 2012. Payment for the land is comprised of an $8 million mortgage note and $1.7 million in common stock warrants. - 600 Acres of land owned by Bionitrogen

February. 19, 2013 - BioNitrogen announced today that it has received approval from the Florida Governor to issue up to $175 million of tax exempt bonds. - $175 Million tax exempt bonds, must add some value to the company

Feb 28, 2013 - BioNitrogen announced today that the Louisiana Community Development Authority (“LCDA”) has granted preliminary approval of the issuance of up to $1.25 billion in tax-exempt bonds for the acquisition, development and construction of five plants in Pointe Coupee Parish, Louisiana. The LCDA’s action clears the way for the Company to proceed to the Louisiana State Bond Commission for approval.
The Company also signed a letter of intent to purchase approximately 250 acres of land in Pointe Coupee Parish for the construction of the plants. - That says 1.2 Billion in tax exempt bonds and 250 acres to be purchased, which must be given intrinsic value. Later they release new that 245 acres were purchased and $300M of the 1.2 Billion allocated

Apr 10, 2013 - BioNitrogen Corporation The collected biomass, which would have otherwise been burned or buried, will supply BioNitrogen’s first plant in Hardee County, FL. The excess biomass, in the interim pre-construction period, may also be processed and sold as wood chips to the international marketplace in order to generate revenues.
In 2013, BioNitrogen expects to receive at least 30,000 tons of biomass from mining and other sources every two months at the Hardee County plant site. - Raw Materials have already been collected

September 19th, 2013 - BioNitrogen Corporation Granted U.S. Patent for Biomass-to-Urea Technology. - Patents granted, more value

October 18th, 2013 - BioNitrogen Receives Allocation of $300 Million to Issue Tax-Exempt Bonds for Initial BioNitrogen Plant in Pointe Coupee Parish, LA

January 6th, 2014 - BioNitrogen Completes Casale Group Funding for EPC Cost Estimate.

January 13th, 2014 - BioNitrogen Receives Final Engineering Feasibility Studies from the Casale Group

March 3rd, 2014 - BioNitrogen Signs 25-Year Biomass Supply Agreements With BioResource Management for Florida Plant. - There must be intrinsic value to this 25 year agreement, and it should be reflected in PPS


Now this is less than half of the news that Bionitrogen has released to us. You must admit that what I have just wrote shows that BION has intrinsic value, which I believe should be well above the current valuation for the company of 17 Million dollars.

At around 400,000,000 shares outstanding, a PPS of $1 would value this company at 400M dollars. With well over a Billion dollars in tax exempt bonds, granted and allocated to Bionitrogen, the hundreds of acres of land owned by us, the extremely valuable Patents, and all of our contracts and agreements, I believe this makes it very reasonable for me to say that we should be valued at $1 per share and above.


I to am very unhappy with the unannounced share dilution, and lack of respect for investors. I believe that it is time that we loyal hard working investors and owners of Bionitrogen come together and hold management accountable for what they have said, and demand respect as a whole.
