1.4. Blocker. Notwithstanding anything to the contrary contained herein, the aggregate number of shares of Common Stock into which this Note is convertible is 4.99% of the outstanding shares of the Company's Common Stock. To the extent that such amount of Common Stock is issued hereunder, any remaining balance of the Note, to include unpaid principal, accrued and unpaid interest, costs, fees, charges, expenses or otherwise, shall automatically and without further notice be canceled and forgiven.
