TGTX’s “rights plan” (i.e. poison pill) looks rather typical in terms of its structure; however, in this instance, the poison pill strikes me as overkill insofar as one entity (Opus Point Partners) controls 2/3 of the BoD and doesn’t really need additional protection from a hostile takeover attempt.
