Not referring to the criteria to get on the NASDAQ, I am referring to the criteria necessary to stay on the NASDAQ. If MCIG gets listed on the NASDAQ and doesn't keep it's share price over $1.00 for a year, they are subject to de-listing. This is why companies that are not strong enough to stay above $1.00 because of massive dilution do reverse s-splits. You notice that the dreaded R/S was just put into play and that is always a concern to investors.

Same as the recent SEC announcement that the CEO has the option to further dilute the shares as of April 30, 2015. It's all their in the filing.

"As the sole director and the holder of the majority of capital voting shares there is a risk that Mr. Rosenberg can reverse his decision or convert his Series A Convertible Shares after April 30, 2015, significantly diluting the common stock."
