I don't see where they've issued 3 billion shares (or as you said, "3.5 billion shares") to Sparx.

I did see this: "On August 14, 2013, the Company closed the merger with Sparx Business Media Inc through issuance of 3,387,500 shares of Kenergy."

And if they did give Sparx "3.5 billion" and Glynn has 2.2 billion, that exceeds the current O/S count.
