I don't claim to have all the answers but here's my best guess....
1. New CEO (after acquiring Avani)
Pink Sheet stocks have new CEO's every day. Same action, same result, pump and dump. Secondly, what acquisition? Are you referring to the LOI as listed as a subsequent event dated April 1, 2014? LOI's are not acquisitions. In addition, there is not an 8K reported under Item 1.01 that it was executed as a definitive agreement, nor has it been reported under Item 2.01 on 8K with 9.01 financial statements as having been closed. Therefore, it remains in someone's mind.
CEO Tom Witthuhm has to be BETTER than Giordano was. Yes, the LOI to buy Avani Holdings is the acquisition I was talking about. I'm not sure if it is a done deal yet but it will be soon (in my opinion). In all fairness, it's more than in someone's mind. It was publicly announced. Now whether it actually goes through - you are right, the verdict is still out on this.
2. New Company name based upon new company direction
Every Pink Sheet scam would be optimistic with the daily name changes.
But at least this name change has a real meaning - emphasis on "technology" as a result of the joint venture announced.
3. Positive financials (actually positive revenues!)
What is positive? The $1.8 million shareholder deficit or the $8.2 million accumulated deficit? Or all of the above? No accounts receivables, cash flow from "discontinued operations"?/
Didn't the last 10Q state over $53,000 plus in revenue? While that is chump change it is SOMETHING given the company hadn't produced revenue before....
4. New Joint Venture announcement
Great, what are the benefits? Any financial terms, conditions, contingencies?
We still have to wait and see.
5. New Investment Banking & Advisory Firm
What investment banking firm? Are they licensed by FINRA? or is this another company that improperly refers to themselves as "investment bankers"; however, they are really stock promoters?
