Which Florida statute refers to "Special Share Issuance"?

Also, which Internal Revenue Code covers and specifies the treatment of "Special Share Issuance"?

The issuer is avoiding a dividend, so this is an asset distribution for tax purposes. Lets start looking into the taxable liability by each shareholder to the IRS.
