State the number of shares outstanding of each of the issuer's classes of common equity, as of the latest practicable date 337,865,401 shares of common stock, $0.001 par value, as of February 1, 2006.

That is from their last Q and as of 12/31/05 there were 214 million O/S. Anoyone have a clue what the added 123 million shares are for.

That coupled with the recent S-8 does not have me feeling very good with managment.
