Terra Tech put forth an S-3 in order to start a dialog with the SEC and determine whether it is allowable for them to engage in this line of business. If the SEC gives them the go-ahead, there will not have been a "change in federal status" of marijuana like a rescheduling or legalization, which is exactly what you are trying to imply.
