Think about a failure in this Phase III trial and the management team loses everything.

That is simply not true. Think about it, this mgmt team has been around for 10 plus years and nothing to show for it per shareholder value. They survived the tainted data didn't they? They just double the amount of shares. All they have to do is to do what they have kept doing. Printing shares and collect more options at lower prices, their salary and their bonuses. Nothing has changed much in 10 years but a lower stock price while mgmt has collected millions. All imo.
